These Affiliate Terms & Conditions (“Terms”) govern your participation in the Nexly Affiliate Program (“Program”). By registering as an affiliate, you agree to comply with these Terms and all applicable laws. Please read them carefully before participating.

Nexly reserves the right to update or modify these Terms at any time. Continued participation in the Program after any such changes constitutes your acceptance of the revised Terms.

1. Program Overview

The Nexly Affiliate Program allows registered users (“Affiliates”) to earn rewards for referring new users to the Nexly platform. When a referred user registers or makes a purchase using your unique referral link, you become eligible for bonuses and commissions as outlined in the Program details available in your affiliate dashboard.

• Registration Bonus: Paid once a referred user successfully registers and verifies their account.
• Sales Commission: A percentage or fixed amount earned from referred users’ purchases.
• Tracking: All referrals and commissions are tracked through your unique affiliate link and recorded in your account dashboard.

Participation in the Program is free and open to all eligible Nexly users who comply with these Terms.

2. Affiliate Responsibilities

As an Affiliate, you agree to promote Nexly in a lawful, honest, and responsible manner. You may share your referral link through personal websites, blogs, emails, or social networks, provided your promotions comply with these guidelines:

• Do not make false, misleading, or exaggerated claims about Nexly or its services.
• Do not use paid advertising (e.g., Google Ads) targeting Nexly brand terms without written permission.
• Do not engage in spam, unsolicited messaging, or deceptive marketing practices.
• Do not represent yourself as an employee, agent, or official partner of Nexly.

Nexly reserves the right to review and terminate your participation if promotional practices are found to be unethical or in violation of these Terms.

3. Commission and Payment

Affiliates earn rewards as defined in their dashboard, which may include:

• Registration Bonus: A one-time payment per valid referred user.
• Sales Commission: A percentage or fixed amount per transaction made by referred users.
• Payout Schedule: Payments are processed monthly, subject to reaching the minimum payout threshold and completion of verification checks.

Nexly reserves the right to withhold or reverse commissions for fraudulent, duplicate, or invalid referrals. Commissions may also be adjusted in case of refunds, chargebacks, or policy violations.

4. Prohibited Activities

Affiliates must not engage in activities that could harm Nexly’s reputation, customers, or operations. The following actions are strictly prohibited:

• Using affiliate links in paid search ads that compete with Nexly’s official marketing campaigns.
• Offering unauthorized discounts, coupons, or incentives.
• Using misleading URLs, cookie stuffing, or hidden redirects.
• Promoting Nexly on websites containing illegal, adult, or hateful content.

Violation of these rules may result in immediate suspension or permanent termination of your affiliate account, along with forfeiture of any unpaid commissions.

5. Termination

Either party may terminate participation in the Program at any time, with or without cause, by providing written notice. Upon termination, you will lose access to your affiliate dashboard, and no further commissions will accrue for post-termination transactions.

Nexly reserves the right to terminate any affiliate account for non-compliance, fraud, or misuse of the Program.

6. Limitation of Liability

Nexly shall not be liable for indirect, incidental, or consequential damages arising from your participation in the Program. Nexly’s total liability under these Terms shall not exceed the total commissions paid or payable to you during the twelve (12) months preceding the claim.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and the jurisdiction of the country where Nexly operates. Any disputes shall be resolved through negotiation or, if necessary, through the competent courts of that jurisdiction.
